How Much Is Your Vacation Rental Management Company Worth?

If you own a vacation rental management company, you probably have a pretty good idea what your properties generate in gross bookings.

But here’s the question that matters if you’re thinking about selling:

How much is the management company itself worth?

That’s a different question.

A vacation rental management company isn’t valued simply by taking the gross rental revenue and applying a percentage. Buyers are generally much more interested in the cash flow the management company actually produces.

For smaller owner-operated companies, that often means Seller’s Discretionary Earnings (SDE).

For larger, professionally managed companies, buyers may focus more heavily on Adjusted EBITDA.

SDE vs. EBITDA

SDE is essentially the economic benefit available to one owner-operator. It can include the owner’s salary, certain personal expenses, and other legitimate add-backs.

EBITDA takes a different approach. It is designed to show the profitability of the company independent of interest, taxes, depreciation, and amortization.

That’s important because a buyer purchasing a $5 million company doesn’t necessarily want to buy themselves a $100,000 job.

They want a business.

What Multiple Does a VRM Company Get?

You will hear ranges in the market, and 4x to 7x cash flow can be a useful framework for thinking about established VRM companies, but it should never be treated as an automatic valuation.

A company at the low end might have:

  • High homeowner concentration
  • Short-term contracts
  • Significant owner involvement
  • Heavy dependence on Airbnb or VRBO
  • Weak financial reporting
  • One geographic market with regulatory uncertainty
  • High homeowner churn

A company toward the higher end might have:

  • Strong adjusted EBITDA
  • Hundreds of properties
  • Long-term management agreements
  • Low homeowner concentration
  • Strong direct-booking revenue
  • A professional management team
  • Excellent technology
  • Geographic density
  • Low owner dependence

That’s the difference between selling a job and selling an enterprise.

The Big Lesson

Don’t start with the multiple.

Start with the business.

If you want to increase the value of your VRM company, focus on improving the things that make a buyer comfortable paying a premium.

Clean financials.

Stable contracts.

Diversified homeowners.

Recurring revenue.

Strong margins.

A management team.

Transferable operations.

Build those first, and the multiple becomes a much more interesting conversation.
